General Conditions of Sale

1. Purpose

The present General Terms and Conditions of Sale (hereinafter "GTC") govern all sales of optical frames manufactured and/or distributed by Froggies Design Studio (hereinafter "the Supplier") to any professional client, including opticians and distributors worldwide (hereinafter "the Client").

Any order implies the Client's full and unreserved acceptance of these GTC, unless specific conditions accepted in writing by the Supplier apply.

2. Products

The products marketed are optical frames, sunglasses, accessories, and elements related to optical eyewear.

The descriptions, photos, dimensions, and colors are provided as an indication and may be modified without notice.

3. Orders

3.1 Terms: Orders must be sent by e-mail or any other accepted means.

3.2 Acceptance: Orders are confirmed only after written validation by the Supplier.

4. Prices

Prices are in € or $, excluding VAT, customs duties, and local taxes.

The Supplier reserves the right to modify an order at any time except for confirmed orders.

5. Payment terms

- Immediate payment for new clients

- Payment terms as defined in the distribution contract for existing clients.

Payment delays: compensation equal to 15% of the amounts due as per penalty clause plus conventional interest at the rate of 1.5% per month of delay.

6. Delivery

- Delivery times are given as an indication.

- Our goods travel at the recipient's risks and perils, even when shipped free of charge. Any claim, to be valid, must be made within a week following the delivery. In case of any dispute, the Commercial Court of Bordeaux shall be the sole competent authority, and our clients, by the fact that they deal with us, accept this jurisdiction.

7. Receipt

In the event of receipt of an incorrect package, reserves must be made immediately.

8. Claims & returns

Returns of goods are subject to written agreement from the Supplier. Products must be new, unused, and in their original packaging. In case of defects found on the merchandise, a penalty will be applied, and the product may be refused.

9. Warranty

All our frames are guaranteed for 24 months against manufacturing defects. Problems related to natural wear, abnormal use, technical modifications, or improper handling are excluded from the warranty.

10. Intellectual property

Designs, models, logos, and trademarks belong exclusively to the Supplier. Any use thereof must be validated by the Supplier.

11. Retention of title

All goods sold remain the property of our company until full payment of the invoiced price. However, from the time of delivery, the buyer assumes the responsibility for any damage that these goods may suffer or cause. They bear the cost of insurance.

12. Liability

Liability is limited to the value of the product. No indirect damage could be covered.

13. Export & customs

All customs duties, taxes, and shipping costs are the responsibility of the Client.

14. Force majeure

The Supplier disclaims any responsibility in case of unforeseen external events or force majeure preventing the execution of an order or delivery.

15. Applicable law & jurisdiction

The present general terms of sale are subject to French Law. Any dispute will be submitted to the Bordeaux court.
